Govt makes overseas call for Hutch-Voda details 9 Jul, 2008, 0124 hrs IST NEW DELHI: India has written to UK and Dutch tax authorities seeking details of the Hutch-Vodafone transaction to acquire Hutch-Essar. Sources close to the development said that the Indian government had sought the ‘sale and purchase’ agreement that Vodafone International Holdings had entered into with Hong Kong’s Hutchison. This comes even as the tax authorities and the company battle out their dispute on payment of capital gains tax in the Bombay High Court. The missive sent out to seeks details of the agreement between Vodafone and Hutchison which the Income Tax department believes would have been given to tax authorities in these countries. A subsidiary of Vodafone Group, Vodafone International (a Netherlands-registered company) had picked up Hutchison’s (based in Cayman Islands) 52% stake in Hutchison-Essar to form the Vodafone-Essar in a $11.2 billion deal. Vodafone International had bought out a Cayman Islands company called CGP investments, which was owned by Hutchison. CGP owned 52% stake in Hutchison Essar, the Indian telecom company, through several Mauritius entities. The I-T department counsel had on July 7 said in the High Court that Vodafone had failed to produce the agreement between Hutchison and itself, which alone could reveal the true nature of the transaction. The department is yet to carry out an assessment of the transaction and books of accounts which takes place only after it has examined the reply to the show cause notice. It may be pointed that Vodafone had approached the court soon after the I-T department issued it a show cause notice. Vodafone, at Tuesday’s hearing in the HC, offered to file the ‘sale purchase agreement it had signed with Hutchison’. The department had issued a show-cause notice to Vodafone Essar asking ‘why it should not be treated as an agent of Hutchison International’. The department is claiming capital gains under Section 9(1)(i) of the Income-Tax Act as they are of the view that the transaction involved transfer of an Indian asset for which even the Foreign Investment Promotion Board’s nod was taken. Vodafone is contesting the claim that the Indian unit (Vodafone Essar, erstwhile Hutchison Essar) was as an ‘agent’ of the non resident (Hutchison International) under Section 163 of the Income-Tax Act, 1961. The case is being keenly watched in India and in global arena as decision in this case would set the course for future and impact many such cross border transactions. It may also be pointed that the government retrospectively amended tax deducted at source provision in the Income Tax Act through the Finance Act, 2008. The amendment seeks to expand definition of the term ‘assessee-in-default’ to include the seller who does not deduct tax at the source. -

Sources close to the development indicated that MTN could hold a board meeting to discuss the prospects of the possible deal, the 45-day exclusivity negotiations for which expired tonight, on July 10. There was, however, no confirmation from either MTN or RCOM on the status of the negotiations that could create an estimated 70-billion dollar combined entity, that has come into controversy following the legal issues raised by Mukesh Ambani-led RIL. -

RCom-MTN exclusive talks not being extended 8 Jul, 2008, 2208 hrs IST NEW DELHI: The exclusivity agreement between South African telecom giant MTN and Anil Ambani group's RCOM for negotiating a possible amalgamation deal is not being extended, a source familiar with the development indicated. There was, however, no official confirmation on the status of the 45-day exclusive agreement, which expired today, either from MTN or RCOM, which is engaged in a legal wrangle with Mukesh Ambani-led RIL. Amid continued acrimony between the Ambani brothers over the deal, disappointment has set on shareholders of the South African telecom major, local media said. "MTN stock gained about 4 per cent temporarily yesterday to trade at R125,92, rallying as investors took a gamble that corporate action of some kind was pending," Business Day newspaper reported here. Meanwhile, both Reliance Communications and Reliance Industries today closed lower in the range of 1-2 per cent on the Bombay Stock Exchange. Reliance Industries settled at Rs 1,978.60, down 2.44 per cent from yesterday's close. The scrip had touched intra-day high of Rs 2,015. The scrip had dropped 4.78 per cent in the morning trade to touch a low of Rs 1,931.20. Meanwhile, ADAG firm Reliance Communications closed at Rs 415.40, down 1.05 per cent from previous close. During the day's trade, RCOM shares had plunged 5.90 per cent at Rs 395.05 over yesterday's close of Rs 419.80. On May 26, RCOM had entered into a 45-day exclusivity agreement with MTN for possible alliance, which is estimated to create a $70-80 billion worth entity. However, RCOM-MTN talks have been hit by uncertainties ever since Mukesh Ambani-led RIL claimed right of first refusal in a majority stake in the Anil Ambani group firm. RIL also threatened legal action if any deal with the South African firm breached its rights. However, these claims have been termed as "factually and legally untenable and misconceived" by RCOM. -

MTN shareholders disappointed over lack of clarity 8 Jul, 2008, 1426 hrs IST, PTI JOHANNESBURG: Amid continued acrimony between the Ambani brothers over a deal with MTN, disappointment has set on shareholders of the South African telecom major as exclusive talks for a possible transaction are drawing to a close today without any clarity, local media said. "MTN stock gained about 4 per cent temporarily yesterday to trade at R125,92, rallying as investors took a gamble that corporate action of some kind was pending," a newspaper reported. "Yesterday's lack of news will force the two mobile groups to issue some sort of update today, when their 45-day period of exclusive talks ends,"the report added. Among the various probabilities being talked about, the report said, the "safest bet is that they will simply announce an extension to the exclusivity period, precluding any other player from making overtures to MTN." However, some expect "MTN to say the exclusivity is over, enabling it to assess other less complicated offers while it continues to engage with Reliance." The report also noted there could be an option to declare the deal is "off completely" and the fourth, but highly unlikey, option "would be news that a deal had been concluded, along with details of how they would structure some kind of share swap." A day before the deadline, the two warring camps in India engaged in a strong exchange of words, with both sides spurning offers of talks made by the other. RIL had proposed a conciliatory meeting, scheduled for yesterday, but RCOM refused to participate in it and instead proposed a 'clarificatory' meeting next week, which in turn was rebuffed by RIL. -

Here's how...and what you need to look for when buying GPS devices and solutions By far the most happening field these days is Navigation. For ages we have been hearing about how easy it will be to find routes to your destination and as a popular TV commercial states 'Never get lost again.' Finally it's starting to become a reality, largely because GPS is now easily available to masses. Availability of stand-alone GPS navigation devices and built-in GPS inside smartphones are two common reasons for the growing popularity of navigation tchnologies. Not to forget the fact that maps are now easily available and in many choices as almost every vendor is looking to encash upon in the opportunity with its own maps. With maps it's not just that you can easily find routes or plan your travel effectively through desktop maps. Many other interesting applications of map have come up. In this story we will first tell you all you must know about GPS. Then we will take a look at how war of maps online as well on mobile platform is shaping up and tell you about the latest navigation solutions. What is GPS? GPS is short for Global Positioning System. It is a technology for anyone who wants to know where they are, where they have been or to find out how to get somewhere. To start using it, all you need is a GPS receiver. There are no charges apart from the initial cost of hardware. If you decide to go for navigation with detailed maps, then there is usually a one-time charge for that as well. The Basic Premise Imagine the earth to be covered with horizontal and vertical lines; the horizontal ones called latitudes (or parallels, since they are all parallel to each other) and the vertical ones called longitudes (or meridians; they converge at the north and south poles). These lines are further divided into minutes and seconds. Knowing the latitude and longitude of a place, you can get there using GPS. There is a network of 24 NAVSTAR (Navigation Satellite Timing and Ranging) satellites orbiting the earth, powered by the sun, and put in place by the U.S. Dept of Defense. They've been in orbit since 1978, pre-dating even the personal computer! Their orbits are so arranged so that at any given point in time and at any place on the surface of the earth, at least four satellites will be 'visible' to a GPS device. A GPS device can then pinpoint its location on the earth's surface (its latitude and longitude) by measuring its distance from these satellites. The process by which it does this is called triangulation. How it works For a GPS device to calculate a location (its latitude and longitude), it needs to know where the satellites are and how far away they are. Supposing it gets a fix on one satellite first and it calculates the distance to the satellite as 12,000 kms. By that logic, it could be anywhere on the surface of an imaginary sphere with a radius of 12,000 kms and with the satellite at the center. Once four satellites get locked on, all these imaginary spheres will intersect at only one common point: the current location. There are variations too: A-GPS, or Assisted GPS uses GSM cell locations to augment tracking; WAAS or Wide Area Augmentation System uses satellites and ground stations that provide GPS signal corrections, increasing accuracy. There can be an unlimited number of simultaneous GPS users. This is because a GPS device only receives signals transmitted from the satellites to coordinate a location. They do not communicate with the satellites. Limitations GPS works everywhere on earth, except inside buildings, basements, in caves and underwater. GPS reception is also affected by weather and cloud �conditions. Interruptions in signal may also occur when you're driving through a tunnel or standing stationary between very tall buildings. Microsoft Virtual Earth offers 3D Bird's Eye view of selected locations, to give users 'almost there' feeling while exploring maps Accuracy Recreational GPS devices are built to offer good performance at a low price. Hence accuracy is not the prime concern. These consumer use devices (and the navigation devices that you see today) which have an accuracy of about 20�40 meters. GPS units used by surveyors usually have an accuracy of one meter. More accurate GPS systems used by the world's militaries can have accuracy down to one centimeter. This is accomplished by using GPS in conjunction with accurate altimeters and differential GPS (with the GPS unit interacting with base stations in addition to satellites). Some other uses: it's not just location though, GPS can be used for a variety of purposes. UK based RaceLogic uses it in their VBox equipment for accurate vehicle performance measurement (speed, acceleration, and deceleration). This equipment is used by automobile testers, manufacturers and racing teams worldwide. GPS can also be used for location tracking of moving vehicles; which can in turn be used for recovery of stolen cars, to help a customer accurately track courier deliveries, to help a taxi company keep track of its cabs or to help a shipping company monitor its shipments. Recovery of stolen vehicles is the newest trend to catch on in India. With a small, hidden GPS receiver in your car, you will accurately be able to pinpoint its exact location if stolen, and recover it with ease. Maps In last couple of years GPS has become highly popular among consumers. Creating Maps is a long process. Google has been constantly developing its maps features ever since they came out. The latest addition to Google maps is driving directions in its street view, but it's currently available for US locations. In case you are wondering how Google Street view works, for this Google has tied up with various image providers such as immersive media which provide Google a database of GeoImmersive imagery. To create this, database company has captured a 360 degree georeferenced spherical video (yes, what you see on street view is actually a video) using its Telemmersion System. This recording system uses a Telemersion camera which has eleven lenses who simultaneously capture eleven streams. This is usually mounted on top of a car which goes around the streets capturing data what you see on street view. See the different facets of navigation box above for details of one more such car. Microsoft Virtual Earth offers 3D Bird's Eye view of selected locations, to give users 'almost there' feeling while exploring maps Google Maps are also available for mobile which also provides direction as well as transit feature. However these features are not yet available for India. Talking about Mobile maps, Nokia has been creating a buzz with Nokia Maps 2.0. With many of the Nokia phones coming with built-in GPS and pre-loaded maps , it can provide turn-by-turn visual and voice guidance. Of course you will have to pay extra to use this service. Nokia maps is available for eight cities in India, for more details see Nokia GPS roadmap box. Microsoft isn't far behind either, its Live maps and Virtual Earth provides some interesting features. It provides 3D views and Bird's Eye view. Its 3D Bird's view again is not yet available for Indian locations but directions work decently with Indian locations. Yahoo with its yahoo maps is more bullish on providing local maps. Even on its US sites it provides simple maps in Hybrid, Satellite formats. Yahoo India Maps currently in its beta also offers maps in Hindi. It lets you search Driving Direction and send the directions to your mobile through an SMS free ofcCost and also lets you print the directions from the website itself. In India another good option is to use MapmyIndia. Its web portal provides all India maps and driving directions for free. They also offer two navigation devices (with choices of state maps and all India maps), software for Windows PDAs with built-in GPS and a mapping application for smartphones. Buying a GPSdevice If you're looking to buy a consumer use GPS device, first decide what you need it for. If you want to use GPS for a sport like Geocaching (www.geocaching. com), you'll need a simple device that can track routes and save waypoints-like something from the Garmin eTrex series. If you need turn-by-turn directions for use in a car or while walking around, you need to go with a PND (personal navigation device) with maps. If you don't want to carry multiple devices, it's better to buy a phone/PDA with built-in GPS. You can still get turn-by-turn directions on PDAs/smartphones with the right software and maps loaded. If you want to add GPS to your existing smartphone/PDA or laptop, you can simply buy a Bluetooth GPS receiver like the Adapt AD-750 (available for Rs 5000). Once connected, you can use the free Google Maps service on all these devices to accurately pinpoint your location. Jailbroken iPhones Get Video Caller Tunes I’ve said it before and I’ll say it again, the iPhone is still a work in progress and the list of things that need to get fixed are already under way. The latest addition to the iPhone in terms of its functionality is iFoneTec’s VideoTone app. As the name implies, this will allow iPhone users to switch from using just an image as a personalized caller background to using a video instead. Users can select a contact and via the 'Personalize' option select a video of their choice rather than just an image or photo - just like in most high end cell phones out there. Shyam Tele gets radio frequencies New Delhi/ Jaipur July 08, 2008, 0:10 IST Shyam Telelink Ltd (STLL) has got radio frequencies for 19 telecom circles. The firm migrated to unified access licence in November 2003 and has been providing basic as well as mobile telephony services in Rajasthan. STLL operates under the brand name "Rainbow" in Rajasthan, and offers voice, data and image services. Sistema announced that Shyam Telelink Ltd had received radio frequencies under CDMA 800 MHz in four additional Indian circles. As a result, Shyam Telelink now has spectrum in 19 circles. The Department of Telecommunications has allocated CDMA 800 MHz radio frequencies to Shyam Telelink, Sistema's subsidiary, in four Indian circles, Gujarat, Karnataka, Kolkata and Orissa, which comprise 14.1 per cent of the Indian population (159.6 million people). Shyam Telelink now has spectrum in 19 circles, covering 27 states with a population of 1,066.5 million. Sistema Group of Russia is the major stake holder in STLL. In September last year, Sistema acquired a 10 per cent stake in Shyam Telelink Ltd. This was followed by the signing of a share purchase agreement in October for the acquisition of an additional 41 per cent stake. The deal was closed in January, resulting in Sistema raising its stake to 51 per cent in STLL. Sistema owns a 73.71 per cent stake in the company. Sistema is the largest public diversified corporation in Russia and the CIS, which manages fast-growing companies operating in the consumer services sector. -
New telecom companies start poaching game 8 Jul, 2008, 0920 hrs IST NEW DELHI: It's boom time for those employed in India's telecom sector, with new entrants looking to take on big and powerful incumbents — wooing their talents with huge packages and irresistible perks. In the last two months, companies like Unitech, Datacom (Videocon), Sistema, Swan and Loop (BPL) have been on the prowl for the best resources in the industry, particularly those with sector-specific skills. The scale of new hires promises to be huge with pan-India operations, requiring companies to employ at least 3,000 employees directly and many more indirectly. Specialists who understand the telecom business and can manage the regulatory environment, even those in DoT and TRAI, are the most in demand. Regulatory specialists from Tata Tele and Aircel have moved to Unitech, from Idea to Datacom and from Spice to Swan to help secure spectrum, site permissions, SACFA and other mandatory clearances required in the initial stage. Clearly, though a spectrum crunch threatens to delay both 2G network rollouts and 3G auctions, each of the nine entrants are driven by their need to ensure a head start over others. Companies are attracting talents by offering big sign-on bonuses, bonuses linked to time-bound performance milestones and stock options. Candidates are additionally asking for safety nets in the form of longer employment contracts because this is an extremely risky move for them. If the business fails, they will have nowhere to go, says Uday Chawla, managing partner, Transearch India. Yet, money may not be a motivator for all. People look for careers within a good, professional environment. Eventually, money alone neither serves as an effective pull for good talent nor a meaningful retention strategy, says Sanjiv Sachar, partner, Egon Zehnder International. Chief technology officers (CTOs) and seasoned network planners, who are next on the demand curve will soon confront similar temptations. Network planners are critical as some new firms are just a few steps away from engaging large equipment manufacturers through requests for proposals (RFPs). Regulatory and network planning professionals, unlike those in sales, marketing and customer care, are super specialists, which means companies have no option but to poach from existing operators, including BSNL and even government departments — DoT and TRAI. Search firms say that while senior DoT and Trai officials (both serving and retired), bring the strengths of their understanding of the functioning of both these organizations, they are almost equally limited by their reluctance to work with junior officials due to protocol issues. However, in this rush for scarce talent, this is easily overlooked, said a partner in a leading search firm. Does this mean higher raises for those who remain loyal? Perhaps not. Existing firms are somewhat insulated. For one, stock options for key talent provide an effective lock-in. This apart, good talent pipelines within these organizations ensures that despite mass exits, leadership will not come to a standstill, says Chawla. Sachar points to another possible upside for existing telecom firms. Talent will only move if there is a strong belief in the ability of new players to grow, he says. Large-scale poaching of HR and marketing professionals will form part of the second stage of hiring by new firms. Building robust marketing, sales and customer care teams across the country is a critical component of the HR function. However, these allow for a wider search from the consumer goods, BPO, retail and other service sectors and may not create significant grief for existing operators.

RIL, RCOM exchange hate mails over MTN 8 Jul, 2008, 0408 hrs IST MUMBAI/NEW DELHI: The war of letters between Anil Ambani’s Reliance Communications (RCOM) with Mukesh Amani’s Reliance Industries (RIL) is increasingly assuming ludicrous proportions. The media and public relations war escalated the day before RCOM’s 45-day exclusivity period for merger talks with the South African telco MTN expires on Tuesday. MTN and RCOM are expected to update the stock exchanges on the status of their negotiations on Tuesday. The bone of contention this time was the minutiae of an aborted meeting between representatives RCOM and RIL on Monday morning. The blame game reached its crescendo with RIL charging RCOM with “misleading media.” The RIL spokesperson said late on Monday evening that no RCOM representative turned up to meet RIL at a meeting scheduled for Monday morning. This came within a couple of hours of RCOM informing the media that it has invited RIL to meet in the week beginning July 14 “to clarify any doubts” on the deal structure being discussed with MTN. The RIL spokesperson said: “RIL, on July 2, invited RCOM to participate in a meeting at 11am today (7 July 2008) to commence the process of mutual conciliation under the non-competition agreement. No representative of RCOM turned up at the meeting. RIL delivered a letter to RCOM at 1.49 PM today, placing on record the fact that no representative of RCOM turned up at the venue for the meeting at the scheduled time. RIL received a response from RCOM at 2.23 PM refusing to participate in the meeting.” RCOM sources said they did not attend the meeting with RIL as the meeting was slated to discuss “conciliation”. They said,” There is no grounds for conciliation as RIL’s so-called claims on right of first refusal (ROFR) is untenable. We are ready to meet them to clarify details of the deal being discussed with MTN.” RCOM reiterated these points in a fax sent to RIL 2.23 PM on Monday afternoon. RIL turned down this offer. In a response to RCOM’s afternoon fax, RIL has threatened to take legal action against RCOM in view of the latter’s “refusal to participate in the conciliation process as envisaged in the agreement.” It has also reiterated that it has already invoked the dispute resolution clause of the non-competition agreement, which was signed between RIL and various Anil Dhirubhai Ambani Group (ADAG) firms in January 2006 in order to implement the demerger of business between the Ambani brothers. The two sides seem to be engaged in a high-stakes game of brinkmanship as the negotiations between RCOM and MTN enter the final stretch. With credit markets tightening and capital markets slumping around the world, the legal uncertainties would not make matters easier for RCOM. The bone of contention is the January 2006 agreement. RIL claims that this agreement provides it a right of first refusal (ROFR) in case RCOM is sold to a third party. RCOM denies any such right. These developments come amidst speculations that MTN is wary of legal challenges to the deal. Besides, unconfirmed reports said that MTN would agree to continue talks with RCOM only if it had an assurance that Mukesh Ambani would drop his claims of RoFR and not derail the transaction. Analysts share the view that the South African company would not want to be part of a combined entity whose future is uncertain. RCOM shares ended the day down 4.2% at Rs 419.80 rupees, even as the benchmark Sensex rose 0.5%. -

Farmers reap rich benefits from weather SMSes 8 Jul, 2008, 0008 hrs IST MUMBAI: Tarsem Singh, 41, a farmer at Dhaipai village in Punjab, may not look like his counterpart in Canada or the USA. But when it comes to using technology, he can twirl his moustache for the fact that he is using technology which many farmers in developed countries could only dream of; Singh gets SMSes on accurate weather prediction specific to his town. Many farmers in Punjab and West Bengal are receiving messages on their cell phones about weather information specific to towns and districts, and by December these could be availed by farmers throughout India. Offered by a Kanpur-based company Ingen Technologies, the service updates farmers on temperature, humidity and rainfall with additional parameters such as atmospheric pressure, solar radiation, wind speed and soil moisture. The system is approved and certified by the Indian Meteorological Department. The company is also learnt to be offering its services to a major soft drink company, which can better predict demand for its beverages based on these predictions and analytics software. “For farmers we provide agro-advisory services that include advice on sowing times, disease outbreaks and frost forecast, through SMS. On other hand, we have designed a decision support tool for utility companies and FMCGs, and have already supplied to some and are in talks with some other players,” says Akhil Aggarwal, head, business development and new products at Ingen Technologies. So far, the company has installed 55 weather stations of which 29 weather stations have been bound by confidentiality, as the clients (mostly companies) using it wish to guard this as trade secret. It also gives the organised retail sector access to a reliable small holder production base, and thereby decreases farm-to-market losses, currently estimated at 30% to 40% on certain products. The application also tackles supply chain management from profiling of farmer clusters to crop planning, scheduling, tracking, and forecasting.

@Vijay My dear friend, yes these people are definetely BLACK MARKETING the Ruims. But Reliance can't help against these private resellers. So, their's no need to send them an Email for those who are not authorised to sell Reliance products. Obviously you can definetely shoot a mail if the same has been done to you by Web World or Web World Express / Reliance Mobile Store. Regards.
